The position will be based in our Atlanta or San Francisco office.

iShares® is a global leader in exchange-traded funds (ETFs), with more than two decades of expertise and dedication to individual and institutional investors of all sizes. As an iShares Counsel, you would be a valuable member of BlackRock’s Legal and Compliance Group, working with multiple business teams and the broader Legal and Compliance Department to provide legal advice and compliance/regulatory support on a wide variety of securities law, investment management, corporate/commercial and business matters, with a primary focus on BlackRock’s U.S. iShares ETF business.

Primary responsibilities

Providing high quality advice and support on a wide variety of matters with a primary focus on the U.S. ETF business.
Assisting with new fund launches, including product development and structuring, as well as enhancements for existing funds.
Drafting and updating SEC registration statements (and related risk disclosures) and other regulatory documents and shareholder communications.
Managing outside counsel’s review of fund documents and providing general oversight of work performed by outside counsel.
Advising business teams regarding key initiatives.
Drafting and negotiating service provider, intermediary and client contracts.
Providing ongoing legal advice to, and engaging in ongoing coordination with, business and operations teams regarding new and existing products and strategies.
Conducting trainings for business partners.
Conducting research and drafting comments on various regulatory proposals and consultations.
Collaborating with the compliance function, including the enhancement of internal policies and procedures aimed at mitigating risk, meeting applicable regulatory requirements and/or improving operational efficiency.
Supporting key business initiatives and special projects.

Qualifications

J.D. with outstanding academic credentials from a nationally-recognized law school and 6-10 years’ experience as a lawyer in a major law firm or the legal department of an asset manager, investment bank or other leading financial services organization.
Experience in asset management and advising mutual funds, ETFs and/or other collective investment products.
Strong working knowledge of the Investment Company Act of 1940, including registration, relevant SEC form and disclosure requirements, in connection with the preparation and review of filings under the Investment Company Act of 1940 and the Securities Act of 1933.
Excellent organizational skills and ability to lead multiple time critical matters simultaneously in a fast-paced, dynamic and fluid environment.
Keen attention to detail.
Adept at juggling priorities for multiple projects to meet deadlines based on changing client and/or department needs and coordinate with multiple business groups.
Ability to independently handle complex projects.
Exercise sound business and legal judgment.
Demonstrate high level of integrity and professionalism.
Excellent analytical, written and oral communication and relationship building skills.
An affinity for teamwork and to contribute as a valued partner
Capacity to pursue and solve problems in a practical manner and to communicate complex legal, compliance and business issues/risks in an understandable way to senior internal and external audiences, including leaders within the firm, outside counsel, and third-party organizations.
Ability and desire to develop expertise in new or unfamiliar areas of law.
